General Conditions of Sales, Delivery and Warranty

Price of the Goods

Unless otherwise agreed, the prices stated are DAP INCOTERMS 2010, including packaging,loading and shipping but excluding VAT and any other possible local taxes,charges,duties (where applicable) and unloading.

Payment Terms

Unless otherwise agreed, the Buyer shall pay 60% down payment within 3 working days after proforma is issued by the Seller. The balance payment shall be made by the Buyer to the Seller at time of complete production of the Goods.

Production Time of the Goods

Production time is 6 – 10 weeks depending on capacity of the Goods, from receipt of downpayment, unless otherwise stated by SELLER.

The Production time quoted is calculated in working days excluding global Public Holidays.

Delivery

The Goods shall not be released for delivery until the Goods is paid fully by the Buyer

The Goods is delivered by the Seller based on DAP (Incoterms 2020).

The Seller is not responsible for unforeseeable shipment delays and operational interruptions due to strikes, lockouts, traffic disruptions, official control measures, official requirements and cases of force majeure (in particular war, epidemics, pandemics, etc.)

In case of delay in shipment, the Seller shall inform the Buyer promptly and notify the Buyer the new delivery time .

Warranties

The warranty period is 24 months from the date the goods are delivered to the Buyer.

The Seller warrants that the goods will be free from defects in material and workmanship.

The Seller warrants that the goods provided will be new and will not be used or refurbished.

The Seller warrants all goods will conform to all applicable specifications, and shall be for its intended use and service.

All warranty claims must be documented in writing immediately when they occur, and described in detail to the Supplier.

The Seller shall immediately correct any defect either by repair or replacement of the defective goods subject to the approval of the Buyer, at the Sellers expense

No warranty will in particular be given in the following cases:

If the equipment was used improperly (failure to observe the official supplier manual and/or instructions), was insufficiently maintained or was inadequately repaired or modified by third parties not approved by the Supplier,Unsuitable or improper use, faulty or defective assembly or commissioning by the purchaser or by third parties, natural wear and tear such as bearings etc, faulty or neglectful treatment,overvoltages, force majeure, unsuitable operating agents, poor construction work, unsuitable assembly ground, chemical, electrochemical or electric influences, unless they fall under the responsibility of the supplier.
